These Terms of Service ("Terms") govern your use of our website and any business services we provide, including logistics support, administrative support, customer service, data processing, freight forwarding assistance, and other operational services connecting South African talent to European logistics organisations. By accessing or engaging BMC’s services, you agree to these Terms. If you do not agree, you may not use our website or services.
2. Scope of Services
BMC provides operational support solutions to logistics, freight forwarding, and supply‑chain businesses. Our services include, but are not limited to:

Data entry and operational data processing

Back‑office logistics tasks
BMC provides support only—we do not act as a freight forwarder, carrier, customs broker, or regulatory agent.
3. Client Responsibilities
Clients engaging BMC agree to:

Provide accurate, complete operational data relevant to assigned tasks

Ensure that BMC receives timely access to tools, systems, and documentation required for service delivery

Maintain compliance with all shipping, trade, and regulatory laws applicable to their operations

Not assign tasks requiring licensed freight forwarding or legally restricted activities unless explicitly agreed
Clients remain fully responsible for compliance with transportation, customs, and trade regulations, regardless of BMC’s support involvement.
4. Data Protection & Confidentiality
Because BMC handles sensitive commercial logistics data, we implement administrative, technical, and operational safeguards. Our teams operate from South Africa and service clients primarily in Europe.
4.1 Data Privacy
BMC may process personal and operational data solely for service delivery. We adhere to:

GDPR obligations for EU‑related data

POPIA obligations for data processed in South Africa

Secure cross‑border data transfer standards
4.2 Confidentiality
BMC treats all client information as confidential and agrees not to disclose or use client data outside the scope of services. Clients must likewise safeguard any confidential information provided by BMC.
5. Workforce Integration & Talent Deployment
BMC connects South African professionals with European logistics teams.
5.1 No Direct Hiring Without Agreement
Clients may not directly hire, contract, or solicit BMC personnel during service delivery or within 12 months after engagement ends, unless a mutually agreed buy‑out arrangement is executed.
5.2 Performance & Replacement
If a deployed team member underperforms, BMC will collaborate with the client to investigate and, where necessary, provide replacements under commercially reasonable timelines.
6. Payment Terms
Fees for services will be defined in the client’s service agreement or proposal. Unless otherwise stated:

Payment is due within the agreed billing cycle

Late payments may incur interest or suspension of services

Fees exclude taxes, which may be added where applicable
7. Intellectual Property
BMC retains all rights to:

BMC developed training materials
-
BMC operational methodologies
-
Internal processes and documentation

Brand assets and website content
Clients retain rights to:

Their training materials
-
Their logistics data
-
Their operational documentation
-
Client-owned tools, systems, and intellectual property
Any deliverables created specifically for the client will be owned according to the terms of the service agreement.
8. Prohibited Uses
Clients and site users may not:

Attempt unauthorised access to BMC systems

Introduce malware, viruses, or harmful code
-
Use the site for unlawful or fraudulent activity
-
Interfere with or disrupt service operations
9. Disclaimer of Warranties
BMC provides its website and services on an "as available" and "as is" basis.
Because offshoring support involves collaborative workflows, BMC:

Does not guarantee uninterrupted service

Does not make legal, regulatory, or compliance decisions on behalf of clients

Does not assume responsibility for third-party system failures
10. Limitation of Liability
To the extent permitted by law:

BMC is not liable for losses resulting from shipment delays, customs issues, regulatory noncompliance, or operational decisions made by the client

BMC’s total liability for any claim is limited to the total fees paid for the service giving rise to the claim

BMC is not liable for indirect, incidental, or consequential damages
11. Indemnification
Clients agree to indemnify and hold BMC harmless from claims relating to:

Misuse of data, systems, or instructions provided to BMC

Regulatory violations within the client’s logistics operations

Use of BMC’s services contrary to these Terms
12. Termination
BMC may suspend or terminate services:

For non‑payment

For breach of these Terms

If continued service poses operational or compliance risks
Clients may terminate services according to notice periods outlined in their agreement.
13. Modifications
BMC may update these Terms periodically. Updated Terms will be posted on the website, and continued use of services constitutes acceptance of any changes.
14. Governing Law
Because BMC operates in Belgium and South Africa, the governing jurisdiction will be Belgium, unless the governing law is defined within a specific separate contract.
